Welcome to Roam Studio AI. These Terms of Service ("Terms") govern your access to and use of the website at roamstudio.ai and any services, consulting, or automation solutions provided by Roam Studio AI ("we," "us," or "our").

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

Services

Roam Studio AI provides AI automation consulting and implementation services for small businesses. The specific scope, deliverables, timeline, and fees for any engagement will be defined in a separate proposal, statement of work, or service agreement between you and Roam Studio AI.

These Terms apply generally to all interactions with our website and services. In the event of a conflict between these Terms and a signed service agreement, the service agreement will govern.

Use of Our Website

You agree to use our website only for lawful purposes and in a manner that does not infringe upon the rights of others or restrict their use of the site. You may not:

  • Attempt to gain unauthorized access to any part of the website, its servers, or any connected systems.
  • Use the website to transmit any malicious code, spam, or harmful content.
  • Reproduce, duplicate, or resell any part of the website without our express written permission.
  • Use automated tools to scrape, crawl, or extract data from the website without prior authorization.

Intellectual Property

All content on our website — including text, graphics, logos, images, and software — is the property of Roam Studio AI or its content suppliers and is protected by applicable intellectual property laws.

Our Work Product

Unless otherwise specified in a signed service agreement:

  • Custom work created specifically for you during an engagement (such as automation workflows, custom integrations, or tailored AI solutions) becomes your property upon full payment.
  • Pre-existing tools, frameworks, templates, and methodologies that we use or develop independently remain our property. We grant you a non-exclusive, non-transferable license to use these components as part of your delivered solution.
  • General knowledge and techniques gained during an engagement may be used by us in future work for other clients, provided we do not disclose your confidential information.

Your Content

You retain ownership of any content, data, or materials you provide to us in connection with our services. By providing such materials, you grant us a limited license to use them solely for the purpose of delivering the agreed-upon services.

Payment Terms

Payment terms for services will be outlined in your proposal or service agreement. Unless otherwise agreed:

  • Invoices are due within 15 days of receipt.
  • Late payments may be subject to a fee of 1.5% per month on the outstanding balance.
  • We reserve the right to pause or suspend work on any engagement with overdue invoices until payment is received.

Confidentiality

Each party agrees to keep confidential any proprietary or sensitive information disclosed by the other party during the course of an engagement. This includes business strategies, technical systems, customer data, and financial information. This obligation survives the termination of any engagement for a period of two years.

Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.

Limitation of Liability

To the fullest extent permitted by law:

  • Roam Studio AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services.
  • Our total liability for any claim arising from a service engagement shall not exceed the total fees paid by you for that specific engagement.
  • We do not guarantee that AI-powered automations or integrations will be error-free, uninterrupted, or compatible with all third-party platforms in perpetuity. Third-party APIs, platforms, and services may change outside our control.

Warranties and Disclaimers

Our website and its content are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the accuracy, reliability, or completeness of any content on the site.

For service engagements, we warrant that work will be performed in a professional and workmanlike manner consistent with industry standards. If deliverables do not materially conform to the agreed-upon specifications, we will make reasonable efforts to correct them at no additional cost, provided you notify us within 30 days of delivery.

We do not warrant specific business outcomes, revenue increases, or cost savings as a result of our services.

Termination

Either party may terminate a service engagement as specified in the applicable service agreement. In the absence of specific termination terms:

  • Either party may terminate with 30 days' written notice.
  • Upon termination, you are responsible for payment of all work completed up to the termination date.
  • We will return or destroy any of your confidential materials upon request.

We reserve the right to suspend or terminate access to our website at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users or our business.

Indemnification

You agree to indemnify and hold harmless Roam Studio AI, its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the state or federal courts located in Knox County, Tennessee.

Changes to These Terms

We may revise these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
